InboxUni provides an AI-powered communication and customer relationship management platform that includes:

• Unified Inbox: Centralized management of emails, social media DMs, SMS, and WhatsApp messages

• AI Assistant: Intelligent message classification, auto-replies, and content generation
• Social Media Scheduling: Multi-platform content planning and publishing
• Proposal Builder: AI-powered proposal creation and tracking
• Voice AI Agent: Automated phone calls and conversations (via Retell AI integration)
• Competitive Intelligence: Market research and competitor analysis

3.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that may affect your use of the Service.

4.1 Permitted Use

4.3 Communication Compliance

5.1 Subscription Plans

• You are responsible for all charges incurred under your account
• Prices are subject to change with 30 days advance notice

5.2 Add-on Features and Credits

Certain features require additional credits or add-on purchases:

• SMS Credits: Pay-per-message pricing for SMS communications
• WhatsApp Credits: Per-conversation pricing for WhatsApp Business

• Social Posts: Additional posts beyond plan limits

5.3 Payment Terms

• All fees are in US Dollars (USD) unless otherwise stated
• Payment is processed through our third-party payment processor (Stripe)
• You must provide valid payment information
• Failed payments may result in service suspension
• We do not store your full credit card information

5.4 Refund Policy

Refunds are handled on a case-by-case basis:

• Monthly subscriptions: No refunds for partial months

5.5 Cancellation

• After 30 days, your account and data may be permanently deleted

6.1 InboxUni's Intellectual Property

The Service and its original content, features, and functionality are owned by InboxUni and are protected by:

• Trademark and trade dress laws
• Patent and other intellectual property laws
• Unfair competition laws

You may not copy, modify, distribute, sell, or lease any part of our Service without explicit written permission.

6.2 Your Content

You retain all rights to content you create, upload, or transmit through the Service ("Your Content"). By using InboxUni, you grant us a limited license to:

• Store, process, and transmit Your Content as necessary to provide the Service
• Use Your Content to improve our AI models and features (anonymized and aggregated)
• Display Your Content to you and users you authorize within your workspace
• Back up Your Content for disaster recovery purposes

6.3 AI-Generated Content

Content generated by InboxUni's AI features:

• You own the AI-generated content created within your account
• You are responsible for reviewing and approving AI-generated content before use
• We do not guarantee the accuracy, quality, or legality of AI-generated content
• You must ensure AI-generated content complies with all applicable laws

6.4 Feedback and Suggestions

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use them without compensation or obligation to you.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7.1 Data Security

We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet is 100% secure. You acknowledge that you provide information at your own risk.

When you connect third-party services (Gmail, social media platforms, etc.), you authorize us to access and process data from those services according to their respective terms and our Privacy Policy.

7.3 Data Backup and Export

• You can export your data at any time through account settings

• Backups are retained according to our data retention policy

8.1 Service Uptime

We strive to maintain high service availability but do not guarantee uninterrupted access. The Service may be unavailable due to:

• Network or infrastructure issues beyond our control

8.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or completeness of content
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding AI-generated content or recommendations

8.3 Third-Party Services

InboxUni integrates with third-party services (OpenAI, Perplexity, Twilio, Stripe, etc.). We are not responsible for the availability, performance, or policies of these third-party services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INBOXUNI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Costs of procurement of substitute services
• Any damages resulting from your use or inability to use the Service
• Damages resulting from unauthorized access to your account or data
• Damages resulting from errors, mistakes, or inaccuracies in content
• Personal injury or property damage resulting from use of the Service
• Any bugs, viruses, or harmful code transmitted through the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You agree to defend, indemnify, and hold harmless InboxUni and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:

• Your use of and access to the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Your Content or any content you transmit through the Service
• Any claim that Your Content caused damage to a third party

11.1 Termination by You

You may terminate your account at any time through account settings or by contacting support.

11.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including if you:

• Breach these Terms or our Acceptable Use Policy
• Engage in fraudulent or illegal activities
• Fail to pay applicable fees
• Create risk or legal exposure for InboxUni
• Harm other users or the Service

11.3 Effects of Termination

Upon termination:

• Your right to use the Service immediately ceases
• You must cease all use of the Service
• Your data will be retained for 30 days for possible reactivation
• After 30 days, your data may be permanently deleted
• You remain liable for all charges incurred before termination
• Provisions that should survive termination will continue to apply

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

12.2 Informal Resolution

Before filing a claim, you agree to contact us at legal@inboxuni.com to attempt to resolve the dispute informally. We'll work with you in good faith to reach a resolution.

12.3 Arbitration Agreement

If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. The arbitration will be conducted in the United States, and judgment on the arbitration award may be entered in any court having jurisdiction.

12.4 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and InboxUni individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, no dispute shall be arbitrated on a class-action basis, and you waive any right to participate in a class-action lawsuit.

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least 30 days notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.

We will notify you of changes by:

• Updating the "Last updated" date at the top of this page
• Sending an email notification to your registered email address
• Displaying a prominent notice within the platform

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and InboxUni concerning the Service.

We shall not be liable for any failure to perform our obligations under these Terms where such failure results from any cause beyond our reasonable control, including natural disasters, war, civil unrest, terrorist activities, labor strikes, or failures in Internet services.

14.6 Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
